ARTICLE I:
Name:
§1. The name of this organization shall be Gustavus Enactus.
ARTICLE II:
Purpose:
§1. The purpose of our club is to inspire students to improve the world through entrepreneurial actions by encouraging and setting up projects which we will work together on, and at a later date, the project will be independent to support those who need it.
§2. The aim of the projects started is to create community development projects that put people’s own ingenuity and talents at the centre of improving their livelihoods.
ARTICLE III:
Other Affiliations:
§1. Gustavus Enactus is associated with Enactus. Enactus is a non-profit organization that provides a platform for us to serve our purpose as mentioned above in ARTICLE II
§2. The policies of Gustavus Adolphus College shall supercede those of the National affiliate which is Enactus
ARTICLE IV:
Executive Board:
§1. The permanent executive board shall consist of a President, a Vice-President, a Secretary, a Treasurer, Risk Manager, and the Head of Marketing.
§2. Any other titles/roles may be created and admitted into the Executive Board by majority vote of the current executive board. If the vote is split evenly, then a simple majority vote will be taken among all members of Gustavus Enactus to determine the creation of the position.
§3. All added positions must have responsibilities attributed to the name of the added position, and will fulfil the similar roles as those who belong to the executive board. The Vice-President will outline the duties and responsibilities of the new position to the Duties of the Executives which must be accepted by all permanent executive board members.
§4. Any titles/roles added may be removed, with unanimous agreement, by the permanent executive board to remove the position.
§5. All executive board members will ratify their respective positions as listed in the Duties of The Executives thereby acknowledging their responsibilities and duties. An executive board member or the advising professor of Gustavus Enactus must be present to view the ratification of the Duties of the Executives
ARTICLE V:
Selection of Executive Board:
§1. The President, Vice-President, Secretary, Treasurer, Risk Manager, and Head of Marketing shall be elected by the members of Gustavus Enactus. (See ARTICLE VI on elections)
ARTICLE VI:
Elections and voting:
§1. There will be at minimum one election per school year.
§2. The Executive Board must call a special election for any vacant executive positions.
§3. Elections will take place at any time during the school year. The time is to be determined by a simple majority of the current Executive Board members so long as there is at least one per school year.
§4. Each member of Gustavus Enactus will receive one vote for one person whom they decide to elect to each executive position.
§5. An election needs to be publicized at least two meetings in advance or fourteen days, whichever is longer. If deemed necessary by unanimous agreement among the executive board, the condition of “whichever is longer” may be superseded where an election is now publicized either two meetings in advance or fourteen days. This may be superseded by ARTICLE VII §2 whereby such a vote may take place earlier than what is specified in ARTICLE VI §5 but no later.
§6. Election information needs to be announced at least once through the entire email alias, prior to the election.
§7. No candidate running for election may promote themselves to members via the Gustavus Enactus email alias or at meetings.
§8. Elections will be held to determine the start of any project. This will take place during meetings among present members. Those who are absent for such meetings will have their vote declared as abstaining from the vote, unless there is a signed written note declaring their vote in advance or an email sent to the Secretary declaring their vote in advance of such meetings.
§9. Elections exclusive to the executive board may take place at anytime during the year.
§10. Events, projects, and decisions that are voted upon will be decided by a simple majority unless specified otherwise in this constitution.
ARTICLE VII:
Abdication and Removal of Executive Officers:
§1. If for any reason the executive board feels a board member can no longer fulfil their respective duties and responsibilities as outlined in the Duties of the Executives, the entirety of the executive board, excluding the member in question, must unanimously agree to dismiss the board member from the position and inform the officer in question that they are under consideration of being removed before the vote is taken place to remove them.
§2. If there is unanimous agreement among the executive board, then a simple majority vote will be taken among the members to fully determine the removal of the executive in question. Should the majority of members disagree with the executive board; a special meeting will be held to determine the removal of the executive member in question.
§3. Any active member may, at any time, petition the Executive Board to remove a member of the Executive Board.
§4. Executive officers being considered for removal will be deemed suspended and therefore not an active member of Gustavus Enactus.
§5. In the case of an Executive Officer abdicating, ARTICLE IV, ARTICLE V, and ARTICLE VI will take effect.
§6. The abdicating officer must provide an advance notice at least 1 meeting or 2 weeks of their intention to abdicate from their position. The abdicating officer is recommended to train in a new member to their position.
§7. The abdicating officer must transfer all of their Enactus documents to the incoming officer replacing them.
§8. In the event that no candidate has been nominated or voted into the position of the abdicating executive officer, a permanent standing executive officer may temporarily fulfill the duties of both their duty and the abdicating executive officer’s duty. This may only be done when an executive officer volunteers to take on both duties, and no member of Gustavus Enactus may impose or coerce, by any means, another member to take on the duty of the abdicating officer.
ARTICLE VIII:
Projects:
§1. Information regarding projects that are in the process of starting must be informed to all members via emails in detail.
§2. The start of any project must be voted upon. (See ARTICLE VI §8)
§3. Any member may propose a project at any time, in which case it is subject to discussion which will determine if it is to be voted upon to determine the validity and start of such a project.
§4. Projects that have passed a vote among members must begin within that same school year, unless conditions prevent the beginning of said project during the same school year. Such preventive conditions must be informed to all members of Gustavus Enactus.
§5. The completion of a project requires that members no longer participate in the project or require little time and effort to continue the sustainability of the project.
§6. Each project must serve the purpose of Gustavus Enactus, as mentioned in ARTICLE II.
§7. Funding for projects, regardless of the source of the funding, must be accepted by a simple majority of the executive board.
ARTICLE IX:
Amending the Constitution:
§1. Any proposal to amend the constitution must be reviewed and voted on by a simple majority of the Executive Board and, if passed, then becomes an election requiring two thirds of the present members. This election is subject to the term of Article VI § 5.
§2. All members must be informed, at least once, of the amendment to the constitution and the time that the amendment election is to take place.
§3. Within the first 100 days of the beginning of Gustavus Enactus, commencing with approval from the Student Senate of Gustavus Adolphus college, amendments to the constitution may be made without consent from members of Gustavus Enactus by unanimous agreement from the executive board.
ARTICLE X:
Absence:
§1. Executive board members may have no more than 10 absences. The consequence of having more than 10 absences will result in the removal of said executive board member.
§2. Being late to meetings 3 times will be considered an absence.
§3. Should an executive board member be absent from a meeting, another executive board member is required to fulfil their responsibilities for the meeting and inform the absentee via email, in detail, the responsibility and work they are required to complete. Once the executive member has sent the email to the absentee, the responsibility of the temporary role on said executive member is now passed back to the absentee.
§4. The executive member which has substituted for the absentee may vote or undertake decisions on the behalf of the absentee. The absentee vote and decisions will be included in the voting and decision making process once the absentee has been informed of the decision and the voting process, in which case, if the absentee rejects the vote of the representative vote, then the vote must be brought up for reconsideration if it alters the result of the final decision. The absentee however may not, in any case or scenario, be informed of the result of the voting or decisions.
ARTICLE XI:
Rights:
§1. Each member of Gustavus Enactus will be informed by the Secretary of the details and going-on at every meeting by email, whereby every member retains the right of information to what is being discussed at all general meetings and executive meetings.
§2. Each member of Gustavus Enactus retains the right to vote where no other member, regardless of position, authority, or otherwise not mentioned, may infringe upon each other member’s right to vote. Each member may also abstain from any voting procedure that is called should they choose.
§3. Each member of Gustavus Enactus retains the right to challenge any project proposed at each meeting upon reasonable concerns. The grounds on which the reasonable concern stands will be determined by open debate among all members. A simple majority vote will take place to determine whether to begin the project or not. If a simple majority is not reached, then the vote will take place solely among the executive board to determine whether to begin the project or not.
ARTICLE XII:
Executive Orders:
§1. Executive Orders is limited to use by, and only by, the President of Gustavus Enactus.
§2. Executive Orders are powers which allow the President to sign off documents and make decisions that are required to be completed within a 24 hour period, beginning at the time that the President was made aware of the decision.
§3. Executive Orders must be revealed to the executive board that such decisions have taken place and the result of those decisions. The President must answer all questions, regarding such the decision, put forward by the executive board.
§4. Decisions that are required to be made within a five day period must be approved by the executive board before the President may issue the order.
§5. Executive Orders made must be informed to members of Gustavus Enactus at the next meeting in which the executive board and members convene.
